These Terms of Use govern your access to and use of the Vireon Systems, Inc. website and any public pages, materials, or features that link to these Terms.
By accessing or using the website, you agree to these Terms. If you do not agree, you should not use the website.
1. About Vireon
Vireon Systems, Inc. (“Vireon,” “we,” “our,” or “us”) is an artificial intelligence research and technology company developing practical AI systems and foundational technology for persistent human–AI collaboration.
These Terms apply to Vireon’s public website and related public-facing content.
2. Scope of these Terms
These Terms govern:
access to the Vireon public website;
use of website text, images, graphics, diagrams, research descriptions, and other materials;
submission of general inquiries through website forms;
interactions with public website features; and
other public-facing services that expressly reference these Terms.
These Terms do not govern:
consulting or advisory engagements;
AI audits;
custom AI-system development;
workflow-automation projects;
client pilots or demonstrations;
access to the Vireon CORE, ELORA, or another Vireon product;
application programming interfaces;
enterprise services; or
services provided under a separate contract.
Those activities may require a master services agreement, statement of work, pilot agreement, software license, product terms, data-processing agreement, or other written agreement.
If a separate written agreement conflicts with these Terms, the separate written agreement controls for the services it covers.
3. Eligibility and authority
You must be at least 18 years old, or the age of legal majority where you live, to use the website.
If you access the website on behalf of a company, organization, or other legal entity, you represent that you have authority to act on its behalf and to accept these Terms.
4. Informational purpose
The website is provided for general informational, educational, research, and business-development purposes.
Website content may describe:
Vireon’s technology direction;
areas of active research;
systems under development;
anticipated features or capabilities;
potential applications;
conceptual frameworks;
service offerings; and
future plans.
Unless expressly stated in a signed written agreement, website content does not constitute:
a binding offer;
a guarantee of availability;
a commitment to develop or release a feature;
a promise of performance;
a product specification;
a service-level commitment;
an investment solicitation; or
a representation that a described technology is complete or generally available.
5. Research and development status
Certain Vireon technologies, including the Vireon CORE and ELORA, are under active development.
Descriptions of planned functionality, technical direction, research hypotheses, development stages, or anticipated outcomes are forward-looking and may change as Vireon conducts research, testing, validation, and product development.
Vireon does not represent unfinished research as completed intelligence.
Actual functionality, performance, availability, architecture, integrations, security controls, and product scope may differ from descriptions appearing on the website.
6. No professional advice
Website content is not legal, financial, accounting, tax, medical, cybersecurity, investment, regulatory, or other licensed professional advice.
You should not act or refrain from acting based solely on website content when professional judgment is appropriate.
Any professional or consulting relationship with Vireon must be established through a separate written agreement.
7. No client or fiduciary relationship
Accessing the website, reviewing Vireon materials, submitting a contact form, or communicating with Vireon does not automatically create:
a client relationship;
a consulting engagement;
a fiduciary relationship;
an agency relationship;
a partnership;
a joint venture;
an employment relationship; or
an obligation for Vireon to accept or perform work.
A business relationship begins only when the parties enter into an applicable written agreement.
8. Permitted use
Subject to these Terms, Vireon grants you a limited, revocable, non-exclusive, non-transferable right to access and use the website for lawful purposes.
You may:
view publicly available website pages;
share links to public pages;
print or save reasonable portions for personal reference or internal business evaluation;
contact Vireon regarding potential services, partnerships, research, or employment; and
use website features in the manner for which they are provided.
No other rights are granted by implication, estoppel, or otherwise.
9. Prohibited use
You may not use the website to:
violate any applicable law or regulation;
infringe or misappropriate intellectual-property, privacy, publicity, contractual, or other rights;
transmit malware, malicious code, or harmful content;
interfere with the operation or security of the website;
bypass technical, access, rate, or security controls;
attempt to gain unauthorized access to systems, accounts, data, or infrastructure;
impersonate another person or misrepresent your identity or affiliation;
submit false, misleading, fraudulent, or unlawful information;
use automated systems to burden or disrupt the website;
systematically scrape, crawl, harvest, mirror, or extract website content without written authorization;
reproduce or assemble substantial portions of the website into another database, service, or publication;
frame or display the website in a way that implies an unauthorized affiliation;
use Vireon content to create a confusingly similar brand, product, or service;
reverse engineer or attempt to discover non-public systems, software, models, prompts, architecture, or technical components; or
use non-public or systematically extracted Vireon materials to train, fine-tune, evaluate, or develop a competing artificial-intelligence system without written permission.
These restrictions apply only to the extent permitted by applicable law and do not prohibit legitimate security research or other activity that cannot lawfully be restricted.
10. Intellectual property
The website and its contents are owned by Vireon, licensed to Vireon, or used with permission.
Protected materials may include:
text and written content;
names and taglines;
logos and visual identity;
images and illustrations;
interface designs;
diagrams and system maps;
research descriptions;
technology frameworks;
page structure;
software;
code;
videos;
audio;
downloadable materials; and
other original content.
These materials may be protected by copyright, trademark, trade-dress, patent, trade-secret, and other intellectual-property laws.
Except for the limited permission provided in these Terms, you may not copy, modify, distribute, sell, license, publish, publicly display, create derivative works from, or commercially exploit Vireon materials without prior written permission.
11. Names, marks, and technology terminology
“Vireon,” “Vireon Systems,” the Vireon logo, “Vireon CORE,” “ELORA,” “TCHAI,” and related names, marks, logos, product identifiers, and design elements may be trademarks or proprietary identifiers of Vireon.
You may not use them in a manner that:
suggests sponsorship, endorsement, affiliation, or approval;
creates confusion regarding the source of a product or service;
disparages or misrepresents Vireon;
incorporates them into another company, domain, application, or product name; or
otherwise violates applicable trademark or unfair-competition law.
Accurate, non-misleading references to Vireon for commentary, reporting, research, or discussion are not prohibited.
12. User submissions and communications
You may submit inquiries, comments, proposals, or other communications through the website.
You are responsible for information you submit and represent that:
you have the right to provide it;
it does not violate another person’s rights;
it is not unlawful, fraudulent, deceptive, or malicious; and
its submission does not violate a confidentiality obligation.
Do not submit source code, credentials, trade secrets, regulated data, personal health information, financial account information, export-controlled material, or other sensitive information through a general contact form.
Submitting an inquiry does not require Vireon to:
review it;
respond;
keep unsolicited business ideas confidential;
enter into an agreement;
compensate you; or
pursue a proposed opportunity.
Information submitted through the website is handled in accordance with the Vireon Privacy Policy.
13. Feedback
If you voluntarily provide ideas, suggestions, comments, or feedback about the website, Vireon’s services, or its technology, you grant Vireon permission to use that feedback for lawful business, research, and development purposes without compensation or obligation to you.
This section does not transfer ownership of confidential material provided under a separate nondisclosure or services agreement.
14. Third-party links and services
The website may contain links to or integrations with websites, platforms, applications, scheduling tools, embedded content, or services operated by third parties.
Third-party services are governed by their own terms and privacy practices.
Vireon does not control and is not responsible for:
third-party content;
availability;
security;
accuracy;
products;
services;
data practices; or
transactions.
The presence of a link does not necessarily constitute endorsement, sponsorship, or affiliation.
15. Website availability and changes
Vireon may modify, suspend, restrict, or discontinue any part of the website at any time.
We do not guarantee that:
the website will always be available;
access will be uninterrupted;
errors will be corrected immediately;
content will remain unchanged;
all materials will be current; or
every feature will continue to be offered.
Vireon may update or remove website content as its research, services, products, and business direction evolve.
16. Accuracy of information
Vireon aims to provide clear and accurate information but does not guarantee that all website content is complete, current, error-free, or suitable for a particular purpose.
Artificial intelligence and emerging technology evolve rapidly. Research findings, technical approaches, product plans, regulatory expectations, and industry terminology may change.
You are responsible for independently evaluating information before relying on it for business, technical, legal, financial, operational, or investment decisions.
17. Privacy
Vireon’s collection and use of personal information through the public website are described in the Privacy Policy.
The Privacy Policy is separate from these Terms but should be reviewed together with them.
18. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ALL WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
VIREON DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF:
MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
TITLE;
NON-INFRINGEMENT;
ACCURACY;
AVAILABILITY;
SECURITY; AND
QUIET ENJOYMENT.
VIREON DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, FREE OF HARMFUL COMPONENTS, OR SUITABLE FOR YOUR PARTICULAR NEEDS.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
19. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIREON AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE WEBSITE OR THESE TERMS.
This includes loss of:
profits;
revenue;
business opportunities;
goodwill;
use;
data; or
anticipated savings.
To the maximum extent permitted by law, Vireon’s aggregate liability arising from or relating to the public website or these Terms will not exceed the greater of:
the amount you paid Vireon specifically for access to the website during the twelve months preceding the event giving rise to the claim; or
one hundred U.S. dollars.
Because access to the public website is generally provided without charge, the second amount will ordinarily apply.
Some jurisdictions do not permit certain exclusions or limitations. In those jurisdictions, liability will be limited only to the maximum extent permitted by law.
20. Indemnification by organizational users
If you access or use the website on behalf of a business or organization, you agree, to the extent permitted by law, to defend, indemnify, and hold harmless Vireon and its personnel from third-party claims, liabilities, damages, losses, and reasonable expenses arising from:
your unlawful use of the website;
your violation of these Terms;
information or material you submit;
your infringement of another party’s rights; or
your misuse of Vireon content.
This obligation does not apply to the extent a claim resulted from Vireon’s own unlawful conduct.
21. Suspension or restriction
Vireon may restrict or block access to the website when reasonably necessary to:
protect website security;
prevent abuse;
investigate unlawful activity;
enforce these Terms;
comply with legal obligations; or
protect Vireon, its visitors, clients, partners, or service providers.
22. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.
Subject to any rights that cannot lawfully be waived, any legal action arising from or relating to the website or these Terms must be brought exclusively in the state or federal courts located in [COUNTY, STATE].
Each party consents to the jurisdiction and venue of those courts.
23. Informal dispute resolution
Before filing a legal claim, you and Vireon agree to make a reasonable good-faith effort to resolve the dispute informally.
A party initiating a dispute should provide written notice describing:
the party’s name and contact information;
the nature of the dispute;
the relevant facts;
the requested resolution; and
supporting information reasonably necessary to evaluate the issue.

If the dispute is not resolved within 30 days after receipt of notice, either party may pursue available legal remedies.
24. Changes to these Terms
Vireon may update these Terms to reflect changes in:
the website;
Vireon’s services or technology;
legal or regulatory requirements;
security practices;
business operations; or
industry standards.
The revised version becomes effective when posted unless a later date is stated.
The “Last Updated” date will identify the most recent revision.
Your continued use of the website after updated Terms become effective constitutes acceptance of the revised Terms.
25. Electronic communications
When you contact Vireon electronically, you consent to receive responsive communications electronically.
Electronic notices and communications may satisfy legal requirements that communications be in writing, to the extent permitted by applicable law.
26. Assignment
You may not assign or transfer your rights or obligations under these Terms without Vireon’s prior written consent.
Vireon may assign these Terms to an affiliate, successor, purchaser, or other entity involved in a merger, acquisition, restructuring, financing, or sale of all or part of its business or assets.
27. No waiver
Vireon’s failure to enforce a provision of these Terms is not a waiver of its right to enforce that provision later.
A waiver is effective only if it is in writing and signed by an authorized Vireon representative.
28. Severability
If any provision of these Terms is found unlawful, invalid, or unenforceable, it will be enforced to the maximum extent permitted or modified to reflect its intended purpose.
The remaining provisions will continue in effect.
29. Entire agreement
These Terms and the Privacy Policy constitute the entire agreement between you and Vireon regarding use of the public website.
They supersede prior or contemporaneous communications concerning website use but do not replace a separate written agreement governing consulting, development, products, pilots, or other services.
